    ROLE: SENIOR CORPORATE COUNSEL

    Team Description:

    The Legal Team supports Sunrun’s mission to create a planet run by the sun by leading the Company’s commitment to integrity in all aspects of the business. Our team protects the interests of Sunrun and counsels the business on challenging questions with practical advice and a collaborative spirit. We handle novel questions and identify solutions while putting the needs of Sunrun’s customers first and helping Sunrun expand into new markets and create new product offerings.

     

    Role Description:

    We are seeking an exceptional, motivated attorney with 5-8 years of corporate experience, with a focus on securities, public company compliance and corporate governance. This position will report to, and work closely with, our Head of Corporate and Securities in handling all corporate matters, as well as be willing to flex out and support other legal initiatives as may be required (we are a lean and nimble team!). Solar experience and experience with Nasdaq-listed companies a plus.

     

    The position is based in Sunrun’s San Francisco headquarters in the heart of the Financial District.

    Responsibilities

    Responsibilities:

    • Draft and prepare the company’s SEC filings, including periodic reports, current reports, proxy statements and Section 16 filings.
    • Play role in Board of Directors support and corporate governance, including Board and Committee meeting planning, maintenance of corporate minutes and records, related person transactions and corporate governance policies.
    • Assist with preparation for the company’s annual shareholder meeting.
    • Counsel on Nasdaq listing requirements.
    • Work closely with our Director, Stock Administration to support equity plan administration, trading windows and employee education.
    • Work closely with our corporate paralegal to support general subsidiary formation, compliance and maintenance.
    • Work with internal audit and assist with SOX controls processes.
    • Assist investor relations team and corporate communications team review investor presentations, press releases and other external communications and provide advice relating to Regulation FD.
    • Assist with general contracts and transactional work.
    •  Be willing to pitch in on compliance matters generally and provide training to the Company on legal topics.
    • Respond to legal requests and queries from individuals in all areas and all levels within the organization, and proactively recognize and address potential legal issues as they arise.

    Qualifications


    Must haves:

    • JD degree from an ABA accredited university.
    • Must be a member in good standing of the California Bar or otherwise authorized to practice law (e.g. have registered in-house status).
    • 5-8 years of corporate experience at a major law firm or public company.
    • Excellent written, oral and interpersonal skills and the ability to interface with, and gain the respect of, stakeholders at all levels.
    • Developed organizational capabilities and the ability to manage several simultaneous projects under deadline pressure.
    • Excellent verbal and written communication skills to effectively work with various departments and levels within Sunrun.
    • Ability to work independently, with little or no supervision, and under pressure in an intense, fast-paced environment required.

    Preferred:

    • Relevant experience in a large law firm in the corporate and securities department and/or in-house law department working on general corporate and securities matters.
    • Experience advising clients in mergers & acquisitions, financings or other complex commercial transactions.
    • Familiar with the renewable energy sector and project finance a plus.
    • Strong analytical and problem-resolution skills; exceptional business judgment, with the ability to think strategically and give practical advice by balancing business needs with legal risks.
