    Sunrun is looking for a creative, talented, driven attorney to join its legal department as Commercial Counsel.  In this role, you will be a key legal advisor for Sunrun’s commercial and project finance teams, focusing on drafting and negotiating commercial agreements and financing agreements to support Sunrun’s continuing growth.  You’ll also be providing pragmatic legal advice and commercial contracting support to clients throughout the company on business development, product development, operations, and business strategy issues. The ideal candidate will be proactive, personable, adept at counseling business clients, and ready to lean into a new challenge.



    In this role, you will:

    • Provide practical, business-oriented and actionable advice in terms non-lawyers can understand
    • Draft, negotiate, and provide legal counsel on a variety of commercial agreements (e.g., channel sales contracts, technology license agreements), financing agreements (e.g., tax equity, ABS, and working capital financing documents), and other contracts to support Sunrun’s business activities

    • Act as key business partner and legal advisor to Sunrun’s project finance and commercial teams, helping to resolve issues, grow the business, and improve operations

    • Counsel business owners on the development and improvement of Sunrun’s products, especially (but not only) related to customer agreements

    • Develop and maintain base forms and template agreements to support Sunrun’s financing, business development and partner management activities

    • Provide ongoing advice on contract terms, status, risks, and opportunities

    • Counsel business owners on the development and improvement of Sunrun’s products, especially (but not only) related to customer agreements

    • Identify key areas for business process and compliance improvements throughout the business, and coordinate stakeholders to drive resolution

    • Respond to legal requests from individuals in all areas and at all levels within the company, and proactively recognize and address potential legal issues as they arise

    • Undertake special projects as required to support new business initiatives

    • Stay up-to-date on relevant industry, commercial, finance, IP and privacy laws, and other developments to be able to give the most effective advice

    • Contribute positively to the culture of the Sunrun legal team and the company as a whole


    To qualify for this position, you should have:

    • A JD degree from an ABA accredited university

    • California bar membership in good standing

    • At least five years of relevant legal experience (although more is welcome), including at a large law firm

    • Prior experience drafting commercial and/or financing agreements, and providing legal counsel directly to business clients (essential)

    • Prior experience working with solar, renewable energy, or construction companies (preferred but not required)

    • Be a confident negotiator with counterparties of varying sizes to bring deals to favorable close

    • Have exceptional judgment, with the ability to adjust to changing priorities and independently resolve or escalate issues as needed

    • Bring strong analytical skills to quickly grasp complex business models and work through thorny legal issues

    • Value finding creative and pragmatic solutions to tricky legal and business problems

    • Be passionate about Sunrun’s mission to create a planet run by the sun
